SCHEDULE A AUDIT CHECKLIST (FOR AGENTS)

Before you sign an agreement with an ISO, check these items.

[ ] 1. BUY RATES
    - Visa/MC Credit Buy Rate: (Should be 1 to 5 Basis Points)
    - Per Transaction Buy Rate: (Should be $0.01 to $0.05)

[ ] 2. LIABILITY
    - Does the contract state "Zero Liability" or "Agent Indemnification"? If you are liable for merchant chargebacks, DO NOT SIGN.

[ ] 3. OWNERSHIP & PORTABILITY
    - Can you move your merchants to another ISO if you are unhappy?
    - Do you own the merchant relationship?

[ ] 4. VESTING
    - Do your residuals vest immediately?
    - Be careful of clauses that state: "Agent must produce $50k in volume per month to receive residual payouts."

[ ] 5. NON-SOLICITATION
    - If you leave the ISO, how long are you barred from switching your own merchants? (Standard is 2 years. Refuse anything over 3).
